Job Summary

Reporting to the Chief Legal Officer, the Corporate Counsel will assist in managing a variety of general corporate tasks with an emphasis on franchise law and transactional matters consisting of reviewing, drafting, and negotiating assigned contracts, prior to execution, including NDAs, vendor/supplier contracts, commercial account contracts, insurance carrier national account contracts, and government account contracts. In addition, this position will assist in various franchise matters including monitoring and assuring compliance with franchise registration and disclosure laws in the U.S. and Canada and will help support the franchise sales and development team to ensure franchise sales compliance. Other duties include enforcing existing contracts, assisting with franchise breaches, audits, terminations, and collections.

This position will provide a wide variety of legal services and support and partner with other attorneys and support staff in the Legal Department.

You will

  • Assist with managing and performing contract review, negotiations, and drafting of various types of business contracts including NDAs, national vendor/supplier contracts, contracts with insurance carrier national accounts, commercial accounts and government account contracts.
  • Provide guidance on contract terms, business positions, and the contracting process
  • Assist with ensuring franchise registrations are updated and filed in a timely manner with each respective state requiring disclosure.
  • Assist with confirming compliance with FDD requirements adhered to and updated FDD prepared and ready for distribution by March 31st of each year.
  • Assist with verifying in-house materials and training explaining franchise disclosure laws, requirements and changes thereto are kept current on an on-going basis.
  • Assist with validating compliance with franchise legal and regulatory matters, including state relationship laws.
  • Assist with ensuring compliance with all disclosure and timing requirements.
  • Assist in preparation of franchise documents, working with the franchise development division and legal department personnel.
  • Assist with general IP related matters, as requested.
  • Execute additional projects and duties as assigned to support business initiatives.

You have

  • Ability to read, write, and communicate with employees, customers, suppliers, in person, on the phone, and by written communications in a clear, straight-forward, and professional manner.
  • Franchise law experience with a law firm or in-house legal department preferred, including preparing franchise disclosure documents, state registrations and renewals, modifying franchise documents, enforcement of system standards, and defaults and terminations.
  • Experience with drafting and negotiating national vendor/supplier agreements and national account contracts.
  • Strong legal research and analytical skills
  • Excellent communication and negotiation skills.

Education

Law degree from a top academic school and licensed in the State of Tennessee, or covered under current state license reciprocity.
